Subject to the terms and conditions herein, Bronkhorst High-Tech B.V. ("Bronkhorst") hereby grants to Bronkhorst High-Tech B.V. Representatives, and distributors (collectively, the "Company"), a limited, non-exclusive, nontransferable, royalty-free license without the right to sublicense, under Bronkhorsts intellectual property rights to use, reuse, display, broadcast, reproduce, distribute and reprint, throughout the world in perpetuity, the following copyrighted literature, instruction manual(s) and images (the "Material" or "Materials"): Company represents that it shall use best efforts to ensure that the Materials are reproduced and distributed in substantially the same content and form to that which was provided by Bronkhorst to Company, and Company represents that it shall not alter, modify or enhance any of the information contained in the Materials in any manner whatsoever without the prior written permission of Bronkhorst.

THE MATERIAL(S) ARE PROVIDED TO COMPANY "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE MATERIAL(S) ARE FREE FROM TECHNICAL INACCURACIES OR TYPOGRAPHICAL ERRORS. CHANGES MAY BE PERIODICALLY ADDED TO THE INFORMATION INCORPORATED INTO THE MATERIALS, AND BRONKHORST MAY, AT ITS OPTION, MAKE IMPROVEMENTS AND/OR CHANGES IN THE MATERIAL(S) AT ANY TIME, WITHOUT NOTICE.

Company unconditionally releases, discharges, and agrees to hold harmless Bronkhorst and its directors, officers, employees, successors and assigns, and all persons acting under their authority, from any claims or liability arising from or related to the limited license granted hereunder, in any subsequent processing or reproduction thereof, as well as any publication, use, reuse, display, broadcast, reprinting or distribution thereof, or any advertisement of which the Material(s) may be part.
